Advertising Terms & Conditions
1. Acceptance of Terms
1.1 These Terms and Conditions relate to Jasmin Alice Bryan trading as new-daddy.co.uk (hereinafter referred to as Us/We) and shall apply to all advertising accepted by new-daddy.co.uk (the Site). By submitting your advertising for inclusion on the Site you agree with and accept these Terms and Conditions. We reserve the right to update and amend these Terms and Conditions, from time to time, and will notify you of such changes by uploading them on the Site.
1.2 If at any time We do not exercise all Our rights under these terms and conditions, this will not prevent Us from later doing so.
2. Copyright
2.1 We accept your advertising based on your representation that you have the appropriate rights to publish and display the content. We cannot be held responsible for breach of copyright. Advertisers are responsible for ensuring that material submitted for inclusion on the Site complies with all relevant laws and regulations in any jurisdiction.
2.2 The content of the Site is the copyright of Jasmin Alice Bryan trading as new-daddy.co.uk. You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any part of the Site without Our prior written consent such request to be made by writing to Us at PO Box 360, West Malling, Kent, ME6 9BD or by email to info@new-daddy.co.uk.
3. Duration
3.1 We will run your advertising for the time period we agree with you which we will specify on our order confirmation form.
4. Charges
4.1 We will agree with you the price for advertising on the Site, for the duration agreed, at the time we accept your advertising for inclusion on the Site which we will specify on our order confirmation form. All prices are subject to change.
4.2 Invoices are payable on presentation. We accept payment in GB Pounds (£) only. Payment can be made by cheque payable to new-daddy.co.uk or by BACS (details on request).
4.3 We reserve the right to collect from either clients or their advertising agencies such monies as are due and payable, including all costs of collection and legal fees.
5. Reservation of Rights
5.1 We reserve the right to refuse to accept any advertising application at any time. We will reject any advertising creative that we believe to be inappropriate for the Site or that does not satisfy our requirements.
5.2 We reserve the right to suspend the Site temporarily for maintenance and other purposes without notice.
5.3 Whilst every effort is made to verify the information submitted to Us for inclusion on the Site, We accept no responsibility to monitor the contents of any advertiser. We will not take responsibility for any error, omission or inaccuracy in advertising material submitted to us for inclusion on the Site.
5.4 If We determine that a violation of these Terms and Conditions has occurred, We reserve the right to pursue any legal remedies, including, but without limitation, the immediate deletion of any offending material from the Site, cancellation of your contract with Us and/or the exclusion of any person(s) who may have violated any of the Terms and Conditions.
5.5 If We believe that any advertisement may create liability for Us we may take any action that We believe is prudent or necessary to minimise or eliminate any potential liability, including, but without limitation, the release of your personal information.
6. Limitation of Liability
6.1 The liability of the Site for any failure to display or for any defect or lengthy delay in displaying an advertisement on the Site shall be limited to the amount of the charge to be levied by Us for the display of that advertisement.
6.2 We will not be liable for any failure to carry out, or delay in carrying out, any of Our obligations to you, or for any other errors, as a result of events beyond Our control including Acts-of-God, actions by any government entity, fire, flood, riot, explosion, embargo, strikes, labour or material shortage, transportation interruption, or Internet or communications failure.
6.3 You undertake to indemnify Us from, and against, all liability, claims, costs (including legal costs), expenses or losses which We may incur by reason of your use of the Site and/or the display of your advertising.
6.4 We will not be liable, in contract or tort (including negligence or breach of statutory duty) for any increased costs or expenses; for any loss of profit, business, contracts, revenues or anticipated savings; or for any special, indirect or consequential damage of any nature arising directly or out of the display of an advertisement on the Site, or of any error or defect therein, or of the performance, non-performance or delayed performance by Us of this contract.
6.5 If for any reason we cannot rely on Clause 6.4 We will only be liable for your reasonable loss of profit.
6.6 We cannot be held liable for any statement or conduct of any third party.
6.7 In the event of any dispute between yourself and any other user or users of the Site, you hereby release Us from claims, demands and damages (actual and consequential) of every kind or nature, known and unknown, foreseen and unforeseen, disclosed and undisclosed, arising out of or in any way related to such dispute.
7. Governing Law
7.1 These Terms and Conditions shall be governed by and interpreted in accordance with English law.
